Nicholas Howes

Managing Director, Corporate Tax Planning & Strategy

MBA

Nicholas Howes is a Managing Director in Perrin & Co.'s Corporate Tax Planning & Strategy practice. A retired Certified Public Accountant with decades of experience in corporate taxation, financial leadership, and complex tax planning, Nicholas advises business owners and executive teams on structuring entities, transactions, and asset strategies to improve tax efficiency while supporting broader business and financial objectives.

Nicholas brings particular depth in multi-entity tax planning and corporate structuring. He helps organizations evaluate how entities can be structured and utilized effectively across complex operating, investment, and ownership environments, considering the tax implications of transactions, asset ownership, intercompany activity, and changes in business structure. His experience allows him to look beyond an individual tax return or transaction and consider how decisions interact across an entire group of related entities.

His transaction experience includes sophisticated tax modeling, Section 1031 exchanges, acquisitions and dispositions, real estate transactions, entity structuring and restructuring, and scenario analysis surrounding significant business decisions. In his corporate tax leadership work, Nicholas developed complex models to evaluate the tax consequences of major transactions and worked directly with escrow companies and Qualified Intermediaries to structure Section 1031 exchanges and optimize tax outcomes.

Nicholas also brings an operator's perspective to tax strategy. He previously served as a Chief Financial Officer, overseeing accounting personnel and working directly with investors, lenders, bankers, insurers, and other stakeholders. That combination of tax expertise and CFO experience enables him to evaluate tax strategies in the context of liquidity, financing, financial reporting, operations, and the broader objectives of the business.

His career includes experience with Deloitte as well as senior tax and financial leadership roles serving organizations across real estate development, agriculture, construction, healthcare, manufacturing, financial services, wholesale distribution, and other industries.

At Perrin & Co., Nicholas works with business owners and their existing legal and accounting advisors to evaluate sophisticated corporate tax planning opportunities, transaction structures, entity strategies, and significant asset decisions. His role complements Perrin & Co.'s broader capital, financial, M&A, and strategic advisory capabilities by bringing a tax perspective to decisions where structure, timing, and execution can significantly influence the ultimate economic outcome.

Nicholas's strategic tax planning and CFO-level experience complement Perrin & Co.'s Finance & Accounting Advisory capabilities, connecting entity and transaction tax strategy with broader financial objectives.
