Terms of Use

These Terms of Use ("Terms") govern your access to and use of the website, the AI-assisted assessment tool, our current and future software products and platforms (including client portals), and the technology and advisory services provided by Perrin & Co., LLC ("Perrin & Co.," "we," "us," or "our") (collectively, the "Services"). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

You must be at least 18 years old to use the Services. If you use the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

The Services, including any information provided through the website or the AI assistant, are for general informational purposes only and do not constitute financial, accounting, tax, legal, investment, or other professional advice. No advisory, fiduciary, or client relationship is created between you and Perrin & Co. unless and until a written engagement letter is executed by both parties.

Unless separately authorized and appropriately licensed, Perrin & Co.'s transaction, M&A, capital, diligence, restructuring, and related advisory services do not constitute securities brokerage, broker-dealer services, securities placement, placement-agent services, securities underwriting, regulated investment-advisory services, fairness opinions, independent valuations or appraisals, legal advice, attest services, or other regulated work. Where needed, Perrin & Co. may coordinate appropriately qualified outside professionals.

The AI assistant provides general information only and may produce inaccurate or incomplete output. Do not rely on it as professional advice, and do not enter highly sensitive, privileged, regulated, or personally identifiable information. Conversation content is not retained by Perrin & Co. after the session ends. See our AI Disclaimer & Privacy Notice for details.

We may make available a Secure Document Exchange for submitting files in connection with a consultation or engagement. Documents you upload are forwarded to and hosted on Microsoft's SharePoint platform, subject to Microsoft's terms and security practices; they pass through our servers only transiently while being delivered, and their contents are not permanently stored, logged, or retained there. Access is by invitation only: you must request access and be issued a personal access code before uploading. Access codes expire, permit a limited number of uploads, and may be revoked at any time. The client name and email associated with your code are sent to SharePoint with your files. Upload documents only if we have requested them or you have an active consultation or engagement, and never submit confidential documents through the AI assistant. Uploaded documents are used solely to provide the services you request and are handled as described in our Privacy Policy. We may decline or delete unsolicited documents unrelated to requested services.

Certain Services may require an account or access to a client portal. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. Notify us promptly of any unauthorized use. We may suspend or terminate access to protect the Services or in the event of a violation of these Terms.

You agree not to:

• Use the Services for any unlawful, fraudulent, or harmful purpose;
• Infringe the intellectual property or other rights of any party;
• Attempt to gain unauthorized access to the Services or related systems or networks;
• Reverse engineer, decompile, scrape, or copy any part of the Services except as permitted by law;
• Introduce malware or otherwise interfere with the operation or security of the Services; or
• Misrepresent your identity or affiliation.

The Services, including all content, software, designs, and the Perrin & Co. and LORIQ names and marks, are owned by Perrin & Co. or its licensors and are protected by intellectual property laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, and revocable license to access and use the website for your internal, non-commercial informational purposes. All other rights are reserved.

Access to our software products, platforms, and technology services may be subject to additional terms, order forms, statements of work, or license agreements. If there is a conflict between those agreements and these Terms with respect to a specific product or service, the specific agreement controls for that product or service.

The Services may rely on or link to third-party services, including our AI processing provider. We are not responsible for third-party services, and your use of them may be subject to their own terms and policies.

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Services will be uninterrupted, error-free, or secure, or that any information provided is accurate or complete.

To the fullest extent permitted by law, Perrin & Co. and its members, officers, employees, and affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or goodwill, arising out of or relating to your use of the Services. Nothing in these Terms limits liability that cannot be limited under applicable law.

You agree to indemnify and hold harmless Perrin & Co. and its members, officers, employees, and affiliates from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of your use of the Services or your violation of these Terms.

These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws principles. You agree that any dispute arising out of or relating to these Terms or the Services will be subject to the exclusive jurisdiction of the state and federal courts located in California, and you consent to venue in those courts. Before initiating any formal proceeding, the parties agree to attempt to resolve the dispute informally by contacting us at info@perrin-co.com.

We may suspend or terminate your access to the Services at any time, with or without notice, for any reason, including a violation of these Terms. Provisions that by their nature should survive termination — including intellectual property, disclaimers, limitation of liability, and indemnification — will survive.

We may update these Terms from time to time. When we do, we will revise the effective date above. Your continued use of the Services after changes take effect constitutes acceptance of the updated Terms.

If any provision of these Terms is found unenforceable, the remaining provisions will remain in effect. Our failure to enforce any provision is not a waiver of that provision. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. These Terms, together with any applicable product or service agreements, constitute the entire agreement between you and Perrin & Co. regarding the Services.
