Hanu Shin
Managing Director, Mergers & Acquisitions & Capital Restructuring Advisory
Hanu Shin is a Managing Director in Perrin & Co.'s Mergers & Acquisitions & Capital Restructuring Advisory practice. He advises business owners, boards, investors, financial sponsors, and executive leadership teams on acquisitions, dispositions, recapitalizations, restructurings, ownership transitions, and other significant corporate transactions. His experience spans mergers and acquisitions, debt capital markets, liability management, special situations, transaction structuring, and financing, providing clients with an integrated perspective on both the transaction and the capital structure supporting it.
Hanu brings more than three decades of experience across investment banking, institutional credit, corporate restructuring, special situations, private investing, and executive leadership. His career has included senior roles at Lehman Brothers, Jefferies, Marathon Asset Management, and specialty direct-lending platforms, as well as direct experience as a business owner, chief executive officer, chief financial officer, board member, and advisor.
At Lehman Brothers, Hanu served as Senior Vice President across Debt Capital Markets, Liability Management, and Corporate Restructuring, advising on more than $3 billion of corporate restructurings across telecommunications, industrial, and other sectors. He later joined Jefferies & Co. as Senior Vice President in the Recapitalization & Restructuring Group, where his experience included significant restructuring engagements involving ATA Holdings, WHX Corporation, and Revlon. His work included transactions involving hundreds of millions of dollars of debt and other obligations and situations requiring coordination among companies, creditors, investors, and other stakeholders.
Hanu subsequently served as Managing Director and Head of Distressed & Special Situations Lending at Marathon Asset Management, structuring and executing complex credit solutions and leading financings exceeding $400 million. His experience included a $145 million credit facility involving The Pacific Lumber Company.
His experience extends well beyond institutional advisory roles. As Co-Founder, CEO, CFO, and Board Member of Fortitude Partners Group, Hanu personally participated in the acquisition, merger, and restructuring of four SaaS fintech companies while leading capital raising and strategic partnerships. That direct operating experience gives him an owner's perspective on transactions—the financial and strategic decisions made during a deal ultimately have to work inside the business after the transaction closes.
Hanu has also advised companies on recapitalizations, restructurings, and significant financing transactions. His experience includes raising a $30 million dual-currency credit facility for Sonos, leading $12.5 million of SBA financing for early-stage technology and service businesses, and securing a $100 million credit facility for a structured-finance company during the financial crisis. More recently, he served as Managing Director and Head of Structuring for a specialty direct-lending firm, where he structured senior credit solutions ranging from approximately $10 million to $200 million for technology, telecommunications, artificial intelligence, healthcare, logistics, and other businesses.
At Perrin & Co., Hanu helps clients evaluate not only how to execute a transaction, but what transaction or capital structure best advances the owner's broader objectives. His work may involve evaluating strategic alternatives, acquisitions and dispositions, recapitalizations, debt restructuring, refinancing alternatives, ownership transitions, special situations, and other significant changes to a company's ownership or capital structure.
His M&A and restructuring experience is particularly valuable in situations where the transaction and financing cannot be considered independently. An acquisition may require a new capital structure. A contemplated sale may first require a recapitalization. An ownership transition may involve debt restructuring. A distressed situation may ultimately lead to a sale, refinancing, or strategic combination. Hanu's experience across M&A, restructuring, credit, and capital markets allows him to evaluate these issues together rather than as isolated decisions.
At Perrin & Co., Hanu works collaboratively with the firm's financial due diligence, institutional credit, corporate tax, accounting, commercial real estate, operational, and technology professionals. This multidisciplinary approach allows Perrin & Co. to assemble the appropriate specialists around a transaction while Hanu leads or supports the M&A and capital restructuring strategy.
Hanu's M&A and capital restructuring experience supports Perrin & Co.'s Business Advisory and Capital Structure practices.
